Terms of Service

1. Agreement to Terms

By accessing or using Raison ("the Service"), operated by Coyotiv GmbH ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 16 years old and have the legal capacity to enter into this agreement.

2. Description of Service

Raison is an AI prompt management platform that enables teams to create, version, and deploy prompts across environments. The Service includes:

• Prompt versioning and history tracking with full diff views
• Environment-based deployments (Development, Staging, Production)
• Approval workflows and governance controls
• Real-time collaboration and WebSocket sync
• Team and organization management with role-based access control (RBAC)
• TypeScript SDK and REST API access for integrations
• Environment-scoped API keys
• AI Prompt Builder powered by BRAID — a structured prompting framework for building Mermaid-based reasoning diagrams via an AI chat interface powered by OpenAI (available on Team, Team Plus, and Enterprise plans)
• Evaluations — compare two prompt drafts or model configurations by running them side by side with a judge LLM that scores each run. Usage is measured in evaluation runs per seat per billing period, according to your plan (available on Team, Team Plus, and Enterprise plans)
• Refinery — iterative prompt improvement powered by BRAID. Automatically runs A/B evaluations until the improved version consistently wins. Refinery iterations consume AI Prompt Builder (BRAID) credits (available on Team, Team Plus, and Enterprise plans)

The Service is currently in beta. Features, limits, and pricing are subject to change as we continue development.

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account using email and password, or Google OAuth. Email verification is required for email/password accounts. You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for safeguarding your account credentials and API keys. You must notify us immediately of any unauthorized access to your account. You are responsible for all activities that occur under your account.

3.3 One Account Per User

Each user may only maintain one personal account. Creating multiple accounts to circumvent usage limits or for other purposes is prohibited.

4. Organization Accounts

4.1 Organizations

Raison is a team product. Users can create organizations and invite members. Each organization has an owner and may include admins and members with different levels of access.

4.2 Owner Responsibility

The organization owner is responsible for all activity within the organization, including ensuring that members comply with these Terms. The owner is also responsible for managing member access and removing members when appropriate.

4.3 Seat Limits

The number of members per organization is limited by your subscription plan. See Section 6 for details. Attempting to circumvent seat limits is prohibited.

5. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Store prompts designed to manipulate, deceive, or harm AI systems or end users
• Attempt to gain unauthorized access to any part of the Service
• Use automated tools to scrape or extract data from the Service beyond normal API usage
• Resell, redistribute, or sublicense the Service without authorization
• Circumvent usage limits, rate limiting, or plan restrictions
• Interfere with the proper functioning of the Service
• Harass, abuse, or harm other users or our staff

We reserve the right to suspend or terminate accounts that violate these terms.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Coyotiv GmbH and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Prompts and Content

You retain all rights to the prompts and content you create and store in the Service. By using the Service, you grant us a limited, non-exclusive license to store and process your prompts solely for the purpose of providing the Service. We do not claim any ownership rights over your prompts.

6.3 AI Prompt Builder with BRAID

BRAID (Bounded Reasoning for Autonomous Inference and Decisions) is a structured prompting framework. The AI Prompt Builder uses BRAID together with OpenAI's language models to help you design Mermaid-based reasoning diagrams. When you use this feature, your chat messages, current prompt content, and Handlebars variables are sent to OpenAI for AI inference. Your BRAID conversation history is stored in our database and linked to your draft. You retain ownership of the final prompt content you author through this workflow. Usage is measured in messages per seat per month, according to your plan.

6.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, worldwide, perpetual license to use and incorporate such feedback into the Service.

7. Payment Terms

7.1 Subscription Plans

The Service offers the following subscription plans. All limits are per organization.

Prices and plan features are subject to change with 30 days' notice.

7.2 Billing

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. Billing occurs at the start of each billing period. Annual subscriptions receive a 20% discount.

7.3 Refunds

Refund eligibility, the 14-day window, and the request process are described in our Refund Policy, which forms part of these Terms.

7.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then. After cancellation, your organization will be downgraded to the Free plan. You may lose access to some of your resources that exceed the free plan limits.

7.5 Past-Due Accounts

If a payment fails, your account enters a 7-day grace period during which access is maintained. If payment is not resolved within the grace period, access to paid features will be suspended until the outstanding balance is settled.

7.6 Taxes

Prices do not include taxes. You are responsible for paying all applicable taxes based on your location.

8. Service Availability & API Usage

8.1 Uptime

We strive to maintain high availability but do not guarantee 100% uptime. Scheduled maintenance will be announced in advance when possible.

8.2 Rate Limiting

To ensure fair usage and service stability, the API enforces rate limits. When a rate limit is exceeded, the API will return a 429 Too Many Requests response with a Retry-After header indicating when to retry. Rate limits are subject to change and may vary by plan.

8.3 Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We will provide reasonable notice for significant changes.

8.4 API Changes

We may update our API from time to time. We will maintain backward compatibility for at least 6 months after announcing deprecations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAISON (COYOTIV GMBH) AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any direct, indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to your account
• Damages resulting from the behavior of AI models consuming your prompts in production
• Damages resulting from outputs generated by the BRAID AI Prompt Builder
• Damages resulting from unauthorized access to, or security breaches of, Raison's own systems caused by third parties (e.g., cyberattacks), provided that Raison has implemented reasonable industry-standard security measures
• Damages exceeding the amount you paid us in the 12 months preceding the claim

Raison provides prompt management infrastructure. We do not control the AI models your prompts are used with. You remain solely responsible for testing, validating, and monitoring your prompts and the AI applications that consume them.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of BRAID-generated prompt structures
• Accuracy or reliability of any other information provided

We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

11. Indemnification

You agree to indemnify, defend, and hold harmless Coyotiv GmbH and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• The prompts or content you store and deploy through the Service
• The behavior of AI applications that consume prompts you manage through the Service

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at contact@raison.ist or by personally terminating your account on the platform.

12.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay applicable fees after the grace period
• Create risk or legal exposure for us

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive (including intellectual property, limitation of liability, and dispute resolution).

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany.

13.2 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@raison.ist to attempt to resolve the dispute informally.

13.3 Jurisdiction

Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Coyotiv GmbH regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification

Your continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.
